Welcome to AYO, a platform (mobile application for Android & iOS and the website www.ayo.co.id) that connects players with sports activities, sports communities, and sports venues, hereinafter referred to as "AYO", for visitors or users of the AYO platform, hereinafter referred to as "User".
Users agree to be bound by the terms and conditions determined by PT Ayo Indonesia Maju, as the developer of the AYO platform, as a valid and binding agreement (Terms and Conditions).
All activities related to the use of the AYO platform are legally protected under the laws of the Republic of Indonesia, including Law No. 11 of 2008 on Electronic Information and Transactions (as amended), Law No. 28 of 2014 on Copyright, and other applicable regulations. Any legal obligations arising from activities on the ayo.co.id website comply with the principles and legal requirements for a valid agreement as stipulated in the Indonesian Civil Code.

1. Features
A. Court Booking
Court Booking is a feature on the AYO platform that allows users to book available sports courts listed on the AYO platform.
When making a court booking, Users can select the court they wish to book through the AYO platform. Users will then choose the schedule and duration for using the court, followed by making a payment for the booking. Users can make the payment through the following methods:
a. Online, with the following payment methods:
- Full payment of the court booking fee; or
- Payment with a down payment system (online advance payment and the remaining balance to be settled either online or offline before the court is used).
AYO only displays the names of sport venues that can be rented/booked by users. These venues are owned by the respective venue owners who have registered them on the AYO platform and are not owned by AYO. Therefore, the venue owners are fully responsible for the courts to be used by users. AYO is fully exempt from any responsibility and/or compensation that may arise in connection with the booking of these courts by users.
Cancellation Policy by AYO and/or Venue
AYO and/or the Venue reserve the right to cancel a User’s booking if circumstances require such cancellation, including but not limited to:
- Operational reasons, force majeure, data discrepancies, violations of the Terms and Conditions, or indications of system misuse. In such cases, AYO will notify the User of the cancellation and, if applicable, process a refund in accordance with the prevailing refund policy. AYO shall not be held liable for any non-financial losses arising from such cancellation.
Sports Activity Risks and Limitation of Liability
The User acknowledges and agrees that engaging in sports activities at venues booked through the AYO platform carries inherent risks, including but not limited to the risk of physical injury, damage to personal property, or other potential risks. AYO acts solely as an intermediary between the User and the venue owner and therefore shall not be held responsible for:
- Any injury, loss, or damage experienced by the User or third parties during or as a result of using the venue;
- The quality, condition, or safety standards of the venue, which remain the sole responsibility of the venue owner;
- Any claims or demands arising from sports activities conducted at the venue.
By making a booking, the User is deemed to have understood and accepted all such risks and agrees to release AYO from any and all claims, demands, or liabilities that may arise.
B. Additional Products (Add-On)
In addition to court bookings, some venues may offer additional products or services, such as equipment rentals, beverages, food, or other services. Please note that these additional products are entirely the responsibility of the venue, including their availability, quality, and the settlement of payments for such products or services.
Refund Policy for Add-on Products
The refund policy for add-on products is entirely determined by each venue. AYO Indonesia acts solely as a platform to facilitate transactions between users and venues and does not have the authority to define, process, or guarantee refund approvals. All refund requests for add-on products must be submitted directly to the respective venue and will be processed in accordance with their policies.
C. AYO Balance
AYO Balance is a feature that allows users, especially as hosts, to manage funds from activities such as Open Play and Sparring in one convenient place. This feature provides ease in fund management, transaction history checking, and fund withdrawals with PIN protection to ensure transaction security. The following are some of the main functions that can be carried out through AYO Balance:
a. Fund Management
Users can manage funds received from various activities on the AYO platform, such as Open Play and Sparring. This feature allows users to do the following:
- Receive Funds: Users can receive funds into their AYO Balance from various payment sources, such as open play activities, sparring, and booking refunds.
- Withdraw Funds: Users can withdraw funds from their AYO Balance to their bank account in accordance with applicable regulations.
b. Transaction History
This feature allows users to monitor and check the transaction history that has been made, both incoming and outgoing funds. Users can easily see:
- Successful and Failed Transactions: Displays all completed transactions and any failed transactions.
- Transaction Details: Users can view various details such as transaction date, amount, status, and other information from completed transactions.
c. Transaction Security with PIN
To ensure the security of each transaction made, the AYO Balance feature is equipped with PIN protection that must be entered every time users perform a fund withdrawal or make other changes. Users are responsible for keeping their PIN confidential and ensuring that only they can perform transactions.
d. Refund Fund Integration
AYO Balance will also soon integrate a feature to process refunds from various activities such as Booking, Open Play, Sparring, and Reschedule. Users can easily manage funds received or refunded through the AYO Balance dashboard.
Terms and Conditions of AYO Balance Feature Use:
- AYO is not responsible for any loss or damage to funds caused by user error or negligence, including but not limited to mistakes in entering bank account data or other transaction information.
- Any withdrawal request by users from AYO Balance will be processed according to the procedures and timeline specified.
- Users are responsible for maintaining the security and confidentiality of their PIN and account information. AYO is not responsible for any misuse of accounts or unauthorized access caused by the user's failure to safeguard their personal information.
- AYO reserves the right to suspend or reject transactions that are suspicious or deemed to violate laws or platform policies, without prior notice to the user.
- In the event of a dispute related to balance, transactions, or refund funds, the final decision will be determined by the AYO team based on an evaluation of the data and the existing situation.
- AYO reserves the right to make changes or adjustments to service fees and withdrawal policies applicable to AYO Balance, which will be communicated to users via notifications on the platform or other official communication channels.
D. Open Sparring
Open Sparring is a feature on the AYO platform that connects or finds opponents for Users. Open Sparring consists of two types of sparring: individual sparring and team sparring.
a. Individual Sparring: The individual sparring feature allows Users to find opponents privately, without involving a team. AYO acts as an intermediary in the sparring search, while the agreement and execution of sparring are entirely the responsibility of the Users.
b. Team Sparring: The team sparring feature enables teams (communities) to find other opponents for sparring activities. AYO acts as a mediator in matching teams but is not responsible for the agreements and execution of sparring sessions.
In this context, AYO solely acts as a mediator/facilitator in the search for sparring opponents, and therefore, its responsibilities are limited as follows:
- Any agreements made between both teams are not the responsibility of AYO.
- Information related to court fees, referee service fees, and all other fees listed on the AYO platform regarding sparring activities is provided and the responsibility of the host user. AYO does not review, verify, or take responsibility for the fees listed.
- The results/scores and sparring photos displayed on the AYO platform are collective and based on information provided by the administrators of each team. AYO does not take responsibility for direct verification on-site.
- AYO is not responsible for any losses and/or fraud, whether material or non-material, that may occur using the AYO platform as an intermediary for agreements.
- AYO is not responsible for any acts of violence, disturbances, or discriminatory actions (SARA) occurring during sparring sessions mediated by the AYO platform.
- AYO does not guarantee that every user will find their desired sparring opponent.
E. Challenge Status
Challenge Status is an additional feature that allows both individuals (players) or communities (teams or groups) to indicate to all AYO users that they are open for a challenge (open for challenge).
Users can submit sparring challenges to others via the AYO platform. This feature is designed to increase interaction and competition between individuals or teams, allowing them to challenge opponents of their choice based on availability and suitability.
1. Users can submit sparring challenges to either individual players or teams registered on the AYO platform. The challenge can involve specific rules agreed upon between both parties, including time, place, and type of sparring desired.
2. The party receiving the challenge can choose to accept or decline the challenge. This process is entirely dependent on the agreement between the challenger and the party being challenged. If the challenge is accepted, both parties can proceed to create a sparring match, adhering to the terms and conditions of "Open Sparring."
3. AYO acts as a mediator facilitating communication and arrangements between both parties involved in the sparring challenge. AYO is not responsible for the execution of the challenge, and any agreements or disputes that arise will be settled between the parties involved.
Limitation of AYO's Responsibilities:
AYO is not responsible for:
- The execution of challenges not in accordance with the agreement or disputes between the involved parties.
- Any losses or injuries that may occur during the sparring match, whether caused by negligence or fault of any party.
- The misuse of the feature for purposes that violate the law or AYO's platform policies.
F. Open Play
Open Play is a feature on the AYO platform for Users who wish to find sports buddies. In this case, AYO acts as a mediator between the "Host" and Participants of the open play event, with the following limitations of responsibility:
- Information regarding fees listed on the AYO platform related to Open Play activities is provided and the responsibility of the host. AYO does not review or verify the fees and is not responsible for any listed costs.
- The host can choose one or both available payment methods: cash and online payment. Cash payment is made directly between the host and participants, usually at the event location on the day of the event. Online payment is made through the AYO platform, mediated by the “Payment Gateway".
- Online payments will incur an additional transaction service fee according to the chosen payment method, which will be charged to the participants.
- Online payment will be forwarded to the host's balance within 6 hours after the event concludes, provided no issues are raised by participants, and can be withdrawn to a bank account with a maximum processing time of 24 hours.
- AYO is not responsible for any losses and/or fraud, whether material or non-material, that may occur using the AYO platform as an intermediary for agreements.
- AYO is not responsible for accidents that occur during the game or anything that causes players to suffer injuries.
- AYO is not responsible for any acts of violence, disturbances, or discriminatory actions (SARA) during events mediated by the AYO platform.
- AYO does not guarantee the attendance of participants who have previously confirmed their participation in the Open Play event.
- AYO will refund the registration fee to participants if the Open Play event is proven not to be carried out by the host in accordance with the terms in the "Refund Policy.
- AYO is not responsible for dissatisfaction or losses, whether material or non-material, experienced by participants caused by the actions or quality of service of the coaches involved in the Open Play event.
G. Liga AYO
Liga AYO is a sports competition conducted on the AYO platform organized by AYO, where users can participate by registering their respective teams and adhering to the terms and conditions of Liga AYO, which will be determined by AYO.
H. Tournament Management Software
Tournament Management Software is a software feature provided on the AYO platform for users organizing sports competitions. It displays competition standings, match schedules, match results, and statistics for teams or players, where the user, as the organizer of the competition, has full control over the data presented. Therefore, AYO is released from any form of responsibility for:
- The accuracy of the information displayed, including but not limited to information about the teams participating in the competition, competition standings, match results, and statistics of users as teams or players, as the accuracy of such data is the responsibility of the user as the organizer of the competition;
- Any agreements made between the user as the competition organizer and the competition participants;
- Any material losses incurred due to the competition;
- Any issues related to violations of norms that could trigger acts of violence, disturbances, hostility between ethnicities, religions, races, and groups (SARA), and/or any other legal violations resulting from the competition; and
- Any accidents and/or injuries arising from the competition.
I. User Profile on the AYO Platform
The profile on the AYO platform displays information such as a list of sports categories played, communities created or followed, awards in the form of badges or kudos, statistics of open play and sparring matches participated in, as well as history and upcoming activity schedules. All data in the profile, particularly those filled in manually, are the responsibility of the user, while AYO acts solely as a recording platform and provider of information.
2. Registered Users
The features on the AYO platform, as mentioned above, are only available to users who have registered by providing their personal information through the registration form provided on the AYO platform's registration page. Registered users are required to:
- Provide accurate, up-to-date, and complete information about themselves when filling out the registration form on the AYO platform.
- Maintain the security of their password and user identification.
- Comply with and adhere to all these Terms and Conditions.
3. Declarations and Warranties
The User hereby declares:
- To comply with the applicable laws and regulations in the territory of the Republic of Indonesia.

When using AYO features, the User will not upload or transmit through the AYO platform any material or other content that:
- Contains words or images that instill fear or violate moral and ethical norms; and/or,
- Harasses, insults, degrades, or intimidates individuals or groups of individuals in a way that provokes conflict or hostility based on Ethnicity, Religion, Race, and Intergroup Relations (SARA).
- To use the AYO features in good faith and refrain from engaging in any unlawful acts, including but not limited to misuse, fraud, or forgery, that could result in harm or other adverse effects to any party.
- To ensure that when using AYO features, the User will not send or upload to the AYO platform electronic messages, documents, and/or content that contain viruses or other devices capable of damaging, disrupting, disabling, and/or causing other adverse effects to any part of the AYO site, in whole or in part.
- To release AYO (including its Parent Company, Directors, and Employees) from any form of responsibility and/or legal claims, whether criminal or civil, including but not limited to compensation claims from third parties arising as a result of the User's violation of these Terms and Conditions.
4. Intellectual Property Rights
- All design layouts, images, artwork, audio, video, and programming code on this platform are copyrighted properties of AYO. Users are prohibited from modifying, copying, altering, or adding to the design layouts, images, artwork, audio, video, and programming code on this platform under any circumstances.
- AYO owns all Intellectual Property Rights contained within the AYO platform. Users are prohibited from copying, distributing, publishing, disseminating, and/or selling any part or the entirety of the AYO platform without prior written consent from AYO.
5. Changes and Updates to Terms & Conditions
AYO reserves the full right to make changes and updates to these Terms and Conditions without requiring User approval. Any changes to the Terms and Conditions will be communicated by AYO through the AYO platform. Users are bound by such changes or updates and are therefore required to periodically review or visit the ayo.co.id website to ensure compliance with the applicable Terms and Conditions. Users have the full right to discontinue using the AYO platform and/or terminate their use of AYO features if they disagree with these Terms and Conditions, the Privacy Policy, or any of their updates.
6. Content Published for Public Consumption
Certain areas or features on the AYO platform allow users to upload content that can be accessed and viewed by other visitors, including the general public. Users are only permitted to post content on public pages of the AYO platform that they have created themselves or for which they have the necessary permissions. Users are prohibited from uploading content that violates these Terms and Conditions. AYO does not claim ownership of the content uploaded by users. However, by posting content in public areas of the AYO platform, users grant AYO, its affiliates, and distributors the right to use, copy, display, perform, distribute, adapt, and promote the content across various media.
7. Disclaimer
AYO (including its Parent Company, Directors, and Employees) is exempted from any liability for errors in the information provided within the AYO account if such information is obtained from third parties, including being exempted from any liability in the event of a misinterpretation of the information provided by AYO within the AYO account.
AYO is also exempted of any liability if the information and features within the AYO account are used by Users and/or third parties for unlawful purposes or to commit actions that, according to applicable legal norms and regulations, are considered violations.
8. Refund Policy
A. Open Play
Participants of the Open Play activity who have made an online payment are not allowed to cancel their participation.
If the Open Play activity is canceled by the Host, participants who have made an online payment will receive a refund equivalent to the amount paid (excluding transaction fees). The refund will be processed within a maximum of 7 business days after the cancellation.
B. Court Booking
The refund policy for court bookings will be subject to the venue owner's policies.
The venue owner's policy regarding refunds can be selected by the owner, with the following options, and is entirely at the discretion of the venue owner.
- Flexible: Users will receive a 100% refund for court bookings if the reservation is canceled up to 24 (twenty-four) hours before the check-in time, and 50% of the booking fee if the reservation is canceled less than 24 (twenty-four) hours before check-in.
- Medium: Users will receive a 100% refund if the reservation is canceled up to 5 (five) days before the check-in time, and 50% refund if the reservation is canceled less than 5 (five) days before check-in.
- Strict: Users are not allowed to cancel their court reservation, and there is no refund policy.
AYO reserves the right to change the refund policy for court bookings at any time. Users will be notified of any changes to the refund policy through the AYO platform.
Notwithstanding the above provisions, AYO is not responsible for the refund policy choices made by the venue owners through the AYO platform.
9. Tax Policy
- Tax Cost Transparency: AYO provides a tax feature to ensure transparency in calculating venue rental fees. Users acknowledge and agree that the total rental cost displayed at checkout already includes the tax component set by the Venue in accordance with applicable regulations.
- Types and Amounts of Tax: The type and amount of tax (such as VAT or PB1) are determined directly by each Venue through the AYO system and are automatically calculated based on the total rental cost (including any add-ons, if applicable). Tax rates may vary from one Venue to another.

Tax Display at Checkout and Invoice: Tax costs will be displayed separately on the checkout page, payment page (including down payments and final payments), and the invoice received by the User. The breakdown will include:
- Venue Rental Fee (before tax)
- Tax (x%)
- Total Cost (after tax)

Venue-Activated Tax: Tax will only be applied to bookings if the Venue has activated the tax settings in the AYO system. Users acknowledge that not all Venues impose taxes, and the application of taxes depends entirely on the policies of each Venue. Taxes may be applied to various types of transactions, including:
- Venue rental bookings (full payment, down payment, final payment)
- Venue-hosted activities such as casual matches, open play, and similar events
- Refunds Including Tax: In the event of a booking cancellation eligible for a refund, the refund amount will be calculated based on the total amount paid by the User, including tax. For example, if a User is entitled to a 50% refund, the refund amount will be calculated from the total cost after tax, not just the base rental price.

Additional Provisions
- Users cannot select or modify the tax scheme imposed by the Venue.
- If a Venue changes its tax settings, such changes will only apply to bookings made after the effective date of the new tax policy.
- Taxes are not part of AYO's direct revenue and are only displayed and processed as part of the system integration between Venue and User.
10. Terms of Use – AYO MatchCam
- Feature Availability: The AYO MatchCam feature is only available at venues integrated with AYO's smart camera system. Availability may vary depending on location and each venue's policy.
- Activation & Video Purchase: Users can purchase recordings of their matches or activities through the AYO app or website after their session ends. Purchases can only be made if the recording is available and meets system standards.

Video Quality & Completeness: AYO strives to provide the best possible video quality. However, Users acknowledge that video completeness may be affected by external factors such as power outages, technical disruptions, or signal issues. In cases where:
- The video is not recorded in full (e.g., too short in duration or contains significant time skips),
- The system will automatically mark the video as Invalid.
- Video Validation by System & AYO Team: The AYO system will automatically check the duration and continuity of recordings. The AYO internal team also reserves the right to revalidate and adjust the video status based on investigation results.

Access & Usage Rights
- A video or clip purchased by one User will automatically be accessible to all other Users involved in the same activity (e.g., the same match session).
- Other Users can view and share the video within the app, but only the purchasing User will have the right to download it.
- Storage Period & Automatic Deletion: Unpurchased videos will be temporarily stored and automatically deleted after a set period. AYO does not guarantee video availability beyond this retention period.
- Technical Disruptions & Events Beyond Control: AYO is not responsible for video loss caused by circumstances beyond system control, including but not limited to hardware failures, power outages, or natural disasters.
- Automatic Recording Consent: By using a venue equipped with AYO MatchCam, Users consent to their activities being recorded automatically. Users who object are advised to choose a venue without active MatchCam equipment.
11. Data Sharing with Third Parties

Users acknowledge and agree that AYO may share certain User data with third parties (such as partners, sponsors, service providers, or business affiliates) for specific purposes, including but not limited to:
- Promotions, offers, or marketing campaigns from third parties.
- Provision of additional services relevant to AYO usage.
- Analysis, market research, or joint product development with third parties.
- Data shared will be limited to the information necessary for such purposes and will be handled in accordance with AYO's Privacy Policy and applicable laws and regulations.
- AYO is not responsible for the privacy policies or data handling practices of third parties once the data has been shared. Users are encouraged to review and understand the privacy policies of the relevant third parties.
- Users may contact AYO to inquire about or request specific limitations on the use of their data, to the extent such limitations are technically and legally feasible.
Privacy Policies
The Privacy Policy of the AYO platform outlines the handling of User data when accessing the AYO platform. By accessing and/or using the AYO platform, the User declares their consent that all their data is accurate and valid. The User grants permission to AYO to collect, manage, analyze, store, display, disclose, send, and/or use such data.

User Data Collection
AYO may collect User Data ("Data") which will be used for the benefit of AYO, the use of the AYO platform, AYO`s internal purposes, and other purposes in accordance with applicable laws and regulations. AYO will not misuse the Data obtained and automatically recorded while using our features through the AYO platform. The Data stored by AYO includes information provided by the User when contacting AYO for assistance or feedback, and other information that the User inputs into the system while using AYO features, including but not limited to:

Non-Personal Data of Users
This refers to Data obtained when the User accesses and/or uses the AYO platform, managed by AYO and its affiliates anonymously, where such Data cannot be used to identify the User, including but not limited to:
- IP Adress;
- Location;
- Browser Type;
- Device Type;

When Users create an account, including but not limited to:
- Name;
- Username;
- Date of Birth;
- Gender;
- Email Adress;
- Password;
- Phone Number;

When Users use the site, including but not limited to:
- Data regarding the time of each User activity, including registration, login, and other similar activities.

Use of Data
AYO has the right to obtain, collect, manage, analyze, store, display, announce, send, and/or use all or part of the Data obtained and collected from Users as mentioned in the previous section (except for Password Data), for the following purposes:
- Managing the AYO platform;
- Providing various forms of information to Users for Team or Match purposes;
- Processing all forms of activities carried out by Users through the site, including for Team or Match purposes;
- Operating, providing, and/or enhancing access, quality of features, and content for Users on the AYO site;
- Displaying and sharing marketing recommendations and advertisements related to goods and services to Users;
- Sharing Data with subsidiaries, affiliates, and/or third parties to assist in providing feature enhancements and/or processing Data on behalf of AYO.
Disclosure of Data
- AYO may and has the right to disclose Data to its subsidiaries, affiliates, and/or third parties cooperating with AYO in order to enhance features for Users.
- AYO is obligated to disclose Data in the event of law enforcement processes and/or upon a legitimate request from law enforcement authorities based on applicable laws and regulations.
- By providing Data, the User has expressed their consent to the disclosure of Data by AYO and exempts AYO from any claims, demands, or lawsuits related to the disclosure of such Data.
Privacy Violation Complaints
If the User feels that there has been a privacy violation or is dissatisfied with AYO's response in handling the complaint or report, please contact AYO at support@ayo.co.id.
